General Description

Not Tax Preparation Services
Unless specifically stated in a written engagement letter, our services do not include tax return preparation or filing. We collaborate with your tax CPA to ensure clean records and effective planning, but you remain responsible for engaging a qualified tax preparer
Detailed Engagement Terms
Specific deliverables, timelines, and fees are defined in your engagement letter. If any conflict arises between these Terms and a signed engagement letter, the engagement letter prevails.

Fees and Payment

Payment Terms

- Payment is due within 15 days of invoice date

Work Product Ownership
You retain ownership of all original data and records you provide. Numbers In Sync retains ownership of proprietary templates, tools, and methodologies. Upon full payment, you receive a non-exclusive license to use deliverables internally for business purposes.
Limitation of Liability
- Services are provided with professional skill and care.
- We make no guarantee of specific outcomes or business results.
- Our total liability for any claim shall not exceed the fees paid for affected services in the prior 12 months.
- We are not liable for indirect, consequential, or punitive damages.
- We are not responsible for third-party system failures (e.g., QuickBooks, Microsoft 365).
- These limits do not apply in cases of fraud, gross negligence, or willful misconduct.
No Legal or Investment Advice
We provide accounting and advisory services only. We do not provide legal, tax filing, or investment advice unless explicitly stated in a signed engagement letter. You should seek appropriate licensed professionals for those areas.
Indemnification
You agree to indemnify and hold harmless Numbers In Sync, its owner, employees, and contractors against any losses or claims (including attorney fees) arising from:
- Your breach of these Terms or engagement letter
- Failure to provide accurate or timely information
- Unauthorized use of deliverables
- Violation of applicable laws or regulations
Term and Termination
Duration
Unless otherwise stated, services continue month-to-month. Either party may terminate with 30 days’ written notice.
Immediate Termination
We may terminate immediately if:
- Payments are overdue
- False or misleading information is provided
- Continuing engagement violates professional standards
- Conflicts of interest or ethical issues arise
After Termination
Upon termination:
- All unpaid fees become due
- Original client records are returned
- Confidentiality obligations remain in force
- Work product ownership follows Section Work Product Ownership
Data Protection and Privacy
Your engagement is governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using our website or services, you acknowledge and consent to that policy
Professional Standards and Ethics

Dispute Resolution

These Terms are governed by the laws of California, without regard to conflict of law principles.
Good-Faith Resolution
Both parties agree to attempt informal resolution in good faith before escalation.
Mediation and Arbitration
If unresolved, disputes will proceed to mediation, and if still unresolved, to binding arbitration under the American Arbitration Association (AAA) rules in the San Francisco Bay Area. Each party bears its own legal costs; mediation fees are shared equally.
Regulatory Complaints
These Terms do not limit your right to file a complaint with the California Board of Accountancy or other regulatory authorities.
No Class Actions
All disputes must be resolved individually; class-action proceedings are waived.
Force Majeure
We are not liable for delays or failures caused by events beyond our control, including:
- Natural disasters
- Government actions or regulations
- Cybersecurity incidents
- Labor disputes or vendor failures
- Public health emergencies
If conflicts of interest or independence issues arise, we will disclose them promptly and, if necessary, withdraw from the engagement.
Survival
Sections on confidentiality, limitation of liability, indemnification, intellectual property, dispute resolution, and data protection survive termination.
Changes to Terms
We may update these Terms periodically. Revised Terms will be posted on our website with an updated “Last Updated” date. Material changes will be communicated to active clients via email. Continued use of our services constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions remain effective.
Entire Agreement
For website visitors, these Terms represent the full agreement with Numbers In Sync. For clients, these Terms and your signed Engagement Letter together form the entire agreement
Waiver
Failure to enforce any provision does not constitute a waiver of that or any other provision
Assignment
You may not assign these Terms or your obligations without our written consent. We may assign rights or obligations with reasonable notice to you.
